Rural Development through Social Appropriation of Technologies (RUDESAT) International
CONSTITUTION
- PART I: NAME
1.1 ARTICLE I: NAME OF THE ORGANIZATION
The name of the organization, hereinafter referred to as The Organization, is: Rural Development through Social Appropriation of Technologies (RUDESAT) International.
The NGO shall be a not-for-profit, non-political and development-oriented organization that will put emphasis on promotion and sustainability of rural enterprises mainly through use of information and communication technologies, ICTs.
2.0 PART II: OBJECTIVES
2.1 ARTICLE II: MAIN OBJECTIVE
To reduce poverty in rural areas through improved access to appropriate information on various enterprises.
2.2 ARTICLE III: SPECIFIC OBJECTIVES
- To contribute to development of relevant infrastructure that will promote the sharing of information in rural areas of ECA
- To establish viable networks with various stakeholders, including media houses for purposes of increasing outreach and promoting access to information
- To identify dominant activities in agriculture and rural development in various locales in Eastern and Central Africa (ECA)
- To establish real-time needs for information in households in rural areas
- To provide telecentres with content in appropriate formats and languages, for use by entrepreneurs in particular locales
- To provide platforms for sharing existing content as well as new ideas by entrepreneurs at various levels
- To develop and maintain a database of experts and other service providers for agriculture and rural development in ECA
- To develop ICT capacity of personnel at telecentres and elsewhere in various locales
- To package content in various formats, notably audio and video and in local languages for various locales in ECA
- To map telecentres in various locales of ECA for use as focal points for accessing information
- To match information to existing needs on the ground
3.0 PART III: MEMBERSHIP AND GOVERNANCE
- ARTICLE IV: MEMBERSHIP
The subscribers to this constitution and such other persons or organization as the Board of the Organization may from time to time admit to membership, the membership being not less than five persons, shall be members of the Organization provided that a members shall cease to be a member if:
- He gives one month’s notice in writing to the Board of his intention to resign from membership. Upon the expiry of such notice he shall cease to be a member but his liability to contribute to the funds of the Organization in the event of its being wound up or dissolved shall continue for one year from the expiry of such notice.
- If he is removed from membership by the vote of not less than two-thirds of the members of the Organization at an Extraordinary General Meeting of the Organization specially convened and at which he has been given a reasonable opportunity of attending and being heard.
3.2 ARTICLE V - NUMBER OF BOARD MEMBERS
Until otherwise varied by a special resolution passed at a General Meeting, the Board shall consist of the honorary posts of Chairman, Secretary and Treasurer; provided that the Chief Executive may serve as the Secretary, and even where the Chief Executive shall not be the Secretary, he shall be a member of the Board ex-officio. The Board shall be the policy-making organ of the Organization
3.3 ARTICLE VI - THE MANAGEMENT STRUCTURE
There shall be the Office of the Chief Executive Officer who shall be the head of the Secretariat.
The day-to-day affairs of the Organization shall be managed by the Chief Executive Officer who shall be in charge of the organization’s affairs. The Management may pay all expenses incurred in setting up and registering the Organization and may exercise such powers of the Organization as are not required by this constitution to be exercised by a General Meeting, to achieve the objectives of the Organization. No regulations made by the Organization in a General Meeting, shall invalidate any prior act of the management which would have been valid if such regulations had not been made.
The Chief Executive Officer shall be responsible to the General Meeting and the Board of Directors. He shall be an employee of the Organization and his Office shall fall under the Secretariat whose terms of service shall be determined by the Board. He shall inter alia:
- Represent and act on behalf of the organization generally;
- Do all such acts as may be necessary for the efficient running of the organization’s affairs; and
- Keep a full, complete, and up-to-date record of the organization’s affairs
